Terms of Use & Sweepstakes Rules

These Terms of Use and Sweepstakes Rules (the "Terms") are an agreement between you and EZ Street LLC, a Delaware limited liability company doing business as BenchBrawl ("BenchBrawl", "we", "us"), with its registered office at 251 Little Falls Drive, Wilmington, Delaware 19808. They govern your access to and use of the BenchBrawl website, app, and services (the "Services"). By creating an account or using the Services you agree to these Terms and to our Privacy and Cookie Policy. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if all of the following are true:

• You are 18 years of age or older. You must affirm this when creating an account, and we may require identity verification at any time.
• You are physically located in a permitted jurisdiction. The Services are not available in: California, Florida, Maryland, Nevada, New York, Rhode Island, Washington; the US territories of American Samoa, Guam, Northern Mariana Islands, Puerto Rico, and the US Virgin Islands; or any location outside the United States, including Canada. We use location checks to enforce this, and the list may change.
• You have not self-excluded, closed your account, or been suspended or banned by us.
• You maintain only one account, registered with your own accurate information.

Employees of EZ Street LLC and members of their immediate households are not eligible to win Cash prizes.

2. The Game

BenchBrawl is a peer-to-peer, tournament-style pick'em game of skill. Players enter contests ("Brawls"), make predictions ("picks") on real sporting events measured against published odds lines, earn points for correct picks, and compete on a leaderboard. The players with the most points at the end of a Brawl share that Brawl's prize pool. Full gameplay rules, including pick types, locking, and the scoring formulas, are in the Brawler Guide & Rules, which is part of these Terms. All picks are final once locked.

3. Virtual Currencies

The Services use two virtual currencies:

• Token. A play-for-fun coin. Token has no monetary value, can never be redeemed for money or anything of value, and exists solely for entertainment. Token can be purchased and can also be earned for free through quests, rewards, and gameplay.
• Cash (sweepstakes coins). A promotional sweepstakes currency. Cash cannot be purchased. It is obtained free: as a promotional bonus accompanying an Token purchase, through free quests and rewards, through the free mail-in method described in Section 4, or as a prize in Cash Brawls. Cash can be used to enter Cash Brawls and, subject to these Terms, redeemed as described in Section 6.

Virtual currencies are licensed to you, not sold; you have no property interest in them. Promotional Cash may carry a playthrough requirement (it must be played at least once before it is redeemable). We may modify, manage, or discontinue virtual currencies as permitted by law.

4. No Purchase Necessary

No purchase is necessary to obtain Cash or to play Cash Brawls, and a purchase does not improve your chances of winning. You can obtain free Cash:

• Through free promotional quests and rewards offered in the app.
• By mail. Hand-write a request for free Cash on a postcard including your full name, the email address registered to your BenchBrawl account, your mailing address, and the statement "I request free BenchBrawl Cash." Mail it to: BenchBrawl Free Entry, EZ Street LLC, PO Box 530, East Berlin, Connecticut 06023, United States of America. One request per postcard, one postcard per outer envelope. Each valid request will be credited with free Cash to the matching account. Requests that are illegible, incomplete, mechanically reproduced, or that do not match a registered account will not be credited.

Cash received by any method — bonus, reward, mail-in, or prize — has identical value and identical odds in play.

5. Purchases and Deposit Limits

• Purchases fund Token at the rate displayed at the time of purchase. Any accompanying Cash bonus is promotional and discretionary.
• All purchases are final and non-refundable except as required by law or expressly stated in these Terms.
• Platform-wide deposit limits apply (currently: $10 minimum and $1,000 maximum per deposit, $2,500 per day, $5,000 per week, and frequency limits), and stricter limits apply to new accounts. You can set lower personal limits at any time in Responsible Play; lowering a limit takes effect immediately, raising one takes effect after a 24-hour cool-off.

6. Cash Redemptions

• Redeemable Cash (Cash that has met any playthrough requirement) can be redeemed at a rate of one US dollar per Cash, subject to a minimum redemption of $1.00 and a processing fee of $0.50 per redemption.
• Identity verification (KYC), including government ID and liveness checks, is required before redemption.
• Redemptions of $600 or more are subject to manual compliance review before payment. We may request additional documentation and may report winnings as required by tax law.
• Redemptions are currently paid in USD-denominated stablecoins (USDC/USDT) to a withdrawal address you register. Payment methods may change.
• We may refuse or reverse redemptions connected to fraud, multi-accounting, bonus abuse, or other violations of these Terms.

7. Brawl Entries, Prize Pools, and Fees

• Each Brawl's entry fee, prize structure, and schedule are displayed before you enter. Prize distribution schedules (e.g., winner-take-all, 50/30/20, or multi-place splits) are fixed and disclosed before the Brawl opens.
• For Cash Brawls, BenchBrawl retains a platform fee (currently 22%) from entry fees; the remainder, plus any amount we guarantee, forms the prize pool. Token Brawls carry no platform fee. Brawls created by BrawlerPros may include a BrawlerPro share paid out of BenchBrawl's platform fee, never out of the player prize pool (see Section 16, BrawlerPro Program).
• If a Brawl does not reach its minimum number of participants, all entry fees are refunded.
• Some Brawls include seeded entrants funded by BenchBrawl to bootstrap activity. They play under the same rules; their winnings return to BenchBrawl's promotional pool.
• If an event is canceled or postponed, or a line is graded on an obvious error, we may void affected picks and regrade per the Guide. Our grading decisions, based on official league results, are final.

8. Responsible Play

We provide deposit limits, time-outs, self-exclusion, and account closure at Responsible Play. If gambling stops being fun, free and confidential help is available 24/7 from the National Problem Gambling Helpline: call or text 1-800-522-4700.

9. Prohibited Conduct

You agree not to:

• Create or use more than one account, or use another person's account;
• Misrepresent your identity, age, or location, or use VPNs, proxies, or other means to evade location checks;
• Use bots, scripts, scrapers, or automation to play or to access the Services;
• Collude with other players, abuse promotions or bonuses, or engage in any form of fraud, including money laundering;
• Interfere with the operation or security of the Services or attempt to access them by any means other than the interfaces we provide.

We may investigate, suspend, or terminate accounts, void picks and winnings, and withhold redemptions in connection with violations. We may also suspend or terminate the Services or your access to them as permitted by law; undisputed redeemable Cash balances will be honored on lawful account closure.

10. Intellectual Property

The Services, including the BenchBrawl name, logo, software, and content, are owned by EZ Street LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Services for their intended purpose. BenchBrawl is not affiliated with, sponsored by, or endorsed by any professional or collegiate sports league, association, or team.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ODDS LINES, SCORES, OR OTHER DATA WILL BE ACCURATE OR TIMELY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZ STREET LLC AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You will indemnify and hold harmless EZ Street LLC and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Services.

14. Disputes, Arbitration, and Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Except for claims that qualify for small-claims court or requests for injunctive relief, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and BenchBrawl each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision by emailing [email protected] within 30 days of first accepting these Terms.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified in-app or by email, and the "Last updated" date above will change. Continued use of the Services after changes take effect constitutes acceptance.

16. BrawlerPro Program

BrawlerPro is an optional program that lets eligible users ("BrawlerPros") create and promote Brawls and earn a share of the activity they bring. Enrolling in BrawlerPro, creating a Brawl as a BrawlerPro, or sharing a BrawlerPro link constitutes acceptance of this Section in addition to the rest of these Terms.

• Enrollment. The program is open to account holders in good standing who meet the eligibility requirements in Section 1. We may accept, decline, suspend, or remove any BrawlerPro at our discretion. BrawlerPros are independent users of the Services, not employees, agents, partners, or representatives of BenchBrawl, and have no authority to act or speak on our behalf.
• BrawlerPro share. When a Cash Brawl created by a BrawlerPro settles, the BrawlerPro earns 10% of that Brawl's gross entry fees. The BrawlerPro share is paid entirely out of BenchBrawl's platform fee (Section 7); it never reduces the player prize pool. It is credited as Cash (sweepstakes currency) after the Brawl settles and is subject to the redemption rules in Section 6, including identity verification. Brawls that do not reach the minimum of 10 players are refunded and generate no BrawlerPro share. We may change the BrawlerPro share rate prospectively; the rate in effect when a Brawl opens applies to that Brawl.
• Money handling. All entries, prize pools, grading, and payouts are operated exclusively by BenchBrawl through the Services. BrawlerPros never collect, hold, or distribute player funds and may not charge players anything outside the Services in connection with a Brawl.
• Taxes. BrawlerPros are solely responsible for taxes on their earnings. For US persons we may require a completed Form W-9 before payment and will report earnings (e.g., on Form 1099) where required by law.
• Promotion rules. When promoting BenchBrawl or their Brawls, BrawlerPros must: clearly disclose their material connection to BenchBrawl (for example "#ad" or "I earn a share of entries") consistent with the FTC Endorsement Guides; make no false or misleading claims, including guaranteed winnings, "risk-free" play, or income promises; not direct promotion at persons under 18, persons located where the Services are unavailable, or self-excluded persons; and not send spam or use our trademarks in paid search or domain names. We grant BrawlerPros a limited, revocable license to use BenchBrawl brand assets solely for this promotion, and we may require removal or correction of any promotional content at any time. BrawlerPros' promotional activity is covered by the indemnity in Section 13.
• Prohibited conduct. Self-referrals, multi-accounting, entering your own Brawls to inflate the BrawlerPro share, colluding with entrants, and any conduct prohibited by Section 9 are prohibited. We may withhold, reverse, or reclaim BrawlerPro earnings connected to a violation.
• Termination and changes. A BrawlerPro may leave the program, and we may end a BrawlerPro's participation or modify or discontinue the program, at any time. Undisputed BrawlerPro earnings from Brawls that settled before a lawful exit will be honored; earnings connected to violations are forfeited.
